These Terms of Service (“Terms”) govern your access to and use of the ReelWin app and the reelwin.app website (together, the “Service”). By installing ReelWin on your Shopify store or using the Service in any way, you agree to these Terms. If you do not agree, do not use the Service.
1. Who can use the Service
The Service is intended for Shopify merchants and the customers they invite to participate in contests. To install and use ReelWin you must:
- Be at least the age of majority in your jurisdiction and have authority to bind the business that operates the Shopify store
- Be legally authorized to operate the Shopify store on which you install ReelWin, including holding any business licenses, registrations, and tax IDs required in your jurisdiction
- Be legally authorized to collect, process, and store personal information from your customers and contest entrants through the app, including complying with applicable privacy laws such as GDPR, CCPA, and COPPA
2. The Service
ReelWin provides tools to create, manage, and promote UGC video and photo contests on Shopify, including a contest setup wizard, a submission review dashboard, a storefront theme block, and bulk email invitations. We may update or change features from time to time to improve the Service.
3. Acceptable use
When you use ReelWin, you agree not to:
- Violate any applicable law or Shopify's merchant terms
- Run contests that are unlawful, deceptive, or promote prohibited goods
- Collect or use personal data without proper consent from entrants
- Upload or distribute content that infringes others' rights
- Attempt to interfere with the Service, its infrastructure, or other merchants' use of it
- Reverse engineer or resell the Service without our written permission
- Run contests that target minors or that collect data from minors without legally sufficient parental consent mechanisms in place on your own website before entrants reach the submission page
- Use entrant data for any purpose beyond what the entrant consented to in the contest terms you published, including using entrant contact information for unrelated marketing without separate, specific consent
You are responsible for contest terms and rules you publish. Your contests must comply with the sweepstakes, promotion, consumer-protection, and data-protection laws that apply to the regions where entrants reside. You are also solely responsible for the content, legality, and fulfillment of any prize you offer in a contest run through ReelWin, including sourcing the prize, delivering it to the winner, and paying any taxes, duties, or fees associated with it.
4. Merchant responsibilities for privacy and terms on their Shopify store
By installing ReelWin on a Shopify store, you are extending the app's data processing into your own customer relationships. You are required to update your own privacy policy and terms of service on your Shopify store to reflect this, and to keep those disclosures current for as long as ReelWin is installed.
Disclosures required in your own privacy policy
Your store's privacy policy must clearly disclose, at a minimum:
- That the store runs contests powered by ReelWin, a third-party Shopify app
- What information is collected from entrants, including entrant name, email address, any additional form fields you configured in the contest wizard, and the submission media (videos or photos) entrants upload
- How long submission data is retained — during the contest plus a 30-day review window after the contest ends, after which it is automatically deleted from ReelWin
- That ReelWin processes this data on your behalf as a data processor, and that ReelWin's own privacy policy is available at reelwin.app/privacy
- That ReelWin is granted access to customer records and order data from your Shopify store in order to power the contest promotion feature, including generating an audience from your recent customers and sending invitation emails through your store
- How entrants can exercise rights over their data — including the ability to contact you directly, and your obligation to pass those requests through to ReelWin when needed so they can be actioned end to end
Contest terms and conditions for each contest
You must publish clear contest terms and conditions for every contest you run on ReelWin. Those contest terms are separate from your store's general terms of service and must cover, at a minimum:
- Eligibility requirements (age, geography, customer status, and any other restrictions)
- How winners are selected and how they will be notified
- Prize details and how the prize will be fulfilled
- Content ownership and any license you are requesting from entrants, including whether you intend to reuse submission media in marketing, advertising, or on your storefront
- How and when entry data will be deleted
- Any other rules specific to that contest
ReelWin does not write, review, or approve your terms
ReelWin does not write, review, approve, or moderate the contest terms you publish or the disclosures in your store's privacy policy. You are the sole author and publisher of those documents and are solely responsible for their legality, accuracy, completeness, and enforceability in every jurisdiction where your contest or your store is accessible.
5. Data access and use
To operate the app, Shopify grants ReelWin access to the following categories of merchant data, subject to the scopes you approve at installation:
- Store details, including store name, domain, contact information, and plan
- Customer records, including customer names, email addresses, and order history for the past 60 days, used to build a promotional audience for invitation emails
- The ability to read and write certain Shopify metafields used by the app to store contest configuration and related data
ReelWin uses this access only to operate the contest features you enable, including generating a customer audience for promotional email campaigns, syncing contest-related data, and sending transactional emails such as entry confirmations and winner notifications. ReelWin does not use your customer data for any purpose beyond operating the Service on your behalf, and does not sell or rent customer data to third parties.
You are responsible for disclosing this data access to your customers in your own privacy policy in compliance with GDPR, CCPA, and any other applicable privacy laws, as described in Section 4.
6. Billing through Shopify
ReelWin subscription fees are billed through Shopify using the pricing shown on the pricing page. Shopify handles invoicing, payment, and charge disputes for app subscriptions. By subscribing, you authorize Shopify to charge the payment method associated with your Shopify account for the recurring subscription fee until you cancel.
New subscriptions include a 3-day free trial. After the trial, subscription fees begin on the renewal cycle you selected (monthly or annual).
7. Cancellation
You can cancel your ReelWin subscription at any time from your Shopify admin. Cancellation stops further charges. Access to paid features typically ends at the conclusion of the current billing period.
8. Intellectual property
Your content
Content submitted by your customers through your contest (for example, videos, photos, and entrant information) is governed by the contest terms you publish. The relationship between you and the entrant, including any license or ownership grant, is set entirely by those terms. ReelWin does not claim ownership of, and does not license, submission media beyond what is technically necessary to host, process, display, and deliver the media to you as part of operating the Service.
You are solely responsible for:
- Obtaining all necessary rights, licenses, and consents from entrants to collect, store, display, and use submission media in the ways you intend
- Including proper license-grant language in your contest terms if you intend to reuse submissions in marketing, advertising, social media, your storefront, or any other channel
- Handling any dispute with an entrant or third party over content ownership, reuse, attribution, takedown, or publicity rights
Our software
ReelWin retains all rights, title, and interest in the Service, including the app, the website, and related trademarks. Nothing in these Terms transfers our intellectual property to you.
9. Service availability
We aim to keep the Service reliable, but we do not guarantee uninterrupted or error-free availability. We may perform maintenance, deploy updates, or change integrations with third-party services like Shopify. We will make reasonable efforts to notify merchants about significant changes.
10. Third-party services
ReelWin integrates with Shopify and uses additional providers for email delivery and cloud infrastructure. Those services are governed by their own terms and privacy policies. We are not responsible for issues caused by third-party services outside of our reasonable control.
11. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, ReelWin will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to the Service. Our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid us for the Service in the twelve months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless ReelWin and its personnel against claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law. This includes, without limitation, claims arising from:
- Your contest terms, or your failure to publish adequate, accurate, or legally compliant contest terms
- Your failure to update your store's own privacy policy or terms of service to disclose ReelWin's processing and data access as required by Section 4
- Any dispute with an entrant or third party about prize fulfillment, content ownership, content reuse, eligibility, or data handling
- Any regulatory complaint, investigation, or enforcement action related to your contest, your promotional practices, your data collection practices, or your handling of minors' data
- Any claim that the content you or your entrants uploaded infringes intellectual-property, privacy, or publicity rights
14. Termination
You may stop using the Service at any time by uninstalling the app from your Shopify store. We may suspend or terminate access to the Service if you violate these Terms or if required to comply with law. On termination, your rights to use the Service end, and we will handle your data as described in the privacy policy.
15. Changes to these Terms
We may update these Terms from time to time. When we make a material change, we will update the “last updated” date above and, where appropriate, notify merchants inside the app. Continued use of the Service after an update means you accept the revised Terms.
16. Governing law
These Terms are governed by the laws of the jurisdiction in which ReelWin is established, without regard to conflict-of-law rules. You and ReelWin agree to the exclusive jurisdiction of the courts in that jurisdiction for any dispute that is not otherwise required to be resolved in a different forum by law.
